These Terms govern access to Tarca's websites and web application, including personal spaces, team workspaces, task and project tools, flowcharts, external update forms, public intake forms and contacts (the Service). The Service is operated by Isbell Group, LLC, a Texas limited liability company (Tarca, we, us). You means the person using the Service and, where that person accepts these Terms with authority on an organization's behalf, that organization.

Please read these Terms, our Privacy Notice, Acceptable Use Policy, and Billing, Cancellation and Promotions Policy. The Acceptable Use Policy and the applicable trial, promotional access and purchase provisions of the Billing Policy form part of this agreement. The Privacy Notice explains our personal-information practices; accepting these Terms does not override choices or rights that applicable privacy law gives you.

1. Eligibility and agreement

The Service is initially offered to people and organizations in the United States. You must be at least 18 years old and legally able to enter this agreement. If you act for an organization, you must have authority to bind it. The Service is not intended for children.

When you affirmatively accept these Terms during account creation or a later acceptance step, you agree to this agreement. If you do not agree, do not create an account or submit information through the Service. External recipients do not become workspace members or paying subscribers by responding to an update request or public intake form.

If an authorized written agreement signed by Isbell Group expressly replaces a provision of these Terms, the signed agreement controls that conflict. An executed data processing addendum controls its specific subject matter. Purchase-order boilerplate or a customer's unilateral terms do not amend this agreement.

2. Accounts and security

Provide accurate account information, keep your email address current, and protect your credentials and devices. Each person must use their own account; a paid seat does not authorize shared credentials. You are responsible for activity you authorize and for promptly reporting suspected unauthorized access. We remain responsible for our own obligations and this clause does not make you liable for our misconduct.

We may require email confirmation and other reasonable steps to validate an account, sensitive change, or support request. Never send us passwords, full card numbers, bank login credentials, or authentication codes. Do not impersonate another person or obtain access you are not authorized to have.

3. Personal spaces, teams and permissions

A personal space is separate from team workspaces. Joining a team does not, by itself, transfer your personal tasks into that team. Workspace roles govern access within that workspace. Current team access is workspace-wide; linking a task to a project does not create a separate private access boundary.

A team owner is responsible for confirming that invitations and role changes are authorized. An invitation is not accepted membership, and changing access must not be used to circumvent disclosed seat rules. The Service may show current members' names and verified account emails to other authorized workspace members for collaboration and assignment.

Organizations determine how their shared workspaces are used and who has access to the content there. If your employer or another organization manages a workspace, it may remove your access and retain work that belongs in its workspace. You must resolve organizational authority and ownership disputes with that organization. We may require reasonable evidence before assisting with disputed administration and may preserve the status quo while reviewing it.

Authorized platform support may access workspace information when necessary to operate or secure the Service, investigate abuse, comply with law, or provide assistance. The application records designated privileged access and operations. A personal space is private from ordinary teammates; it is not an end-to-end encrypted vault inaccessible to the operator.

4. Permission to use the Service

While you comply with this agreement and any applicable order, we grant you a limited, nonexclusive, nontransferable right to use the Service for your own personal or organizational work. You may allow your authorized members to use the Service through their own accounts and assigned roles. No resale, white-label license, source-code license, or right to our trademarks is granted unless separately agreed in writing.

You must comply with applicable law and the Acceptable Use Policy. You may not bypass authorization, security controls, usage limits or payment requirements, or use the Service to infringe others' rights.

5. Your content and our use of it

Customer Content means the information you or your authorized users submit to the Service, such as tasks, pages, project notes, comments, diagrams, contact information, and attachments. As between you and Tarca, you retain the rights you have in Customer Content. Uploading content does not transfer ownership to us.

You give us a limited permission to host, store, copy, transmit, format, display and otherwise process Customer Content as needed to provide the features you use, maintain and secure the Service, follow your authorized instructions, and comply with law. This includes using service providers for hosting, authentication, storage and email. This permission lasts only as needed for those purposes, including lawful retained records and backup copies after closure. It does not authorize us to sell your private workspace content or publish it for advertising.

You must have the rights and lawful basis needed to submit content, invite others, and direct us to process or share their information. Do not upload information that a contract, professional duty or law prohibits you from sharing through this Service. You are responsible for the accuracy of your content and reviewing work before using it for consequential decisions.

If you provide product suggestions without a separate confidentiality agreement, you permit us to use those suggestions to improve the Service without payment or attribution. This does not transfer ownership of your existing confidential business materials or authorize public use of your name, logo, or endorsement.

6. External update requests and communications

An authorized workspace member may deliberately email a request that exposes selected task information to an external recipient. Review the recipient, message and sharing preview before sending. The recipient may submit the response fields and attachments enabled for that request. Internal comments and other workspace records are not automatically shared by that action.

An external form uses a private bearer link. Possession of a valid link, including a forwarded link, can allow someone to view the shared information and respond. It does not verify the recipient's identity, create a digital signature, or grant full workspace membership. Do not use this feature for identity verification or information that should not be disclosed to anyone holding the link.

Submitting an external response shares it and its submitted attachments with authorized readers in the requesting workspace. A request may close without completing the underlying task. Conflicting updates and certain committed-date changes may require internal review. Email replies are not automatically ingested. A delivery status indicates processing or provider acceptance, not proof of inbox receipt, identity, reading, or action.

You may manage optional notification email through the controls provided. Necessary account, security, legal and billing communications may still be sent. External requests must relate to legitimate work and may not be used for unsolicited marketing, harassment or bulk outreach.

Public intake forms and contacts

Public intake is different from a private update request. Publishing deliberately makes the questions, instructions and operator details available without an account. The form operator must have authority to collect the requested information, identify the responsible person or organization, provide a relevant privacy notice, and collect only information needed for the stated purpose. Do not publish confidential material in a form's questions or instructions. A readable URL or search-engine exclusion request is not access control; anyone who reaches a published form can view it.

Submitting an intake form sends the answers to its owning workspace for authorized review. A name or contact address is unverified, and the security check does not prove identity, ownership of an email address, agreement to marketing or a digital signature. Reviewers must assess the response before relying on it. They may deliberately create or link a contact or task; information copied to a task follows the task's workspace visibility. Linking work does not erase the original response. Contacts are not accounts, members or paid seats.

A submission does not automatically subscribe the respondent to marketing, grant a workspace invitation or authorize payment. Any separate marketing program requires its own lawful basis, notices, choices and controls; a contact entry alone is insufficient. Public intake can collect attachments when the form operator enables them; submitted files follow the response’s access controls. It does not collect payments or provide arbitrary outbound integration webhooks. Pausing or archiving a form stops new responses without deleting previously submitted records.

7. Service limits, beta features and important boundaries

Tarca is an early web product. Feature availability and disclosed operating limits may change as it develops. We will not deliberately remove material prepaid functionality without addressing the affected paid period as described in the Billing Policy or an applicable signed order.

The Service helps organize work; it is not medical, psychological, legal, accounting, financial, safety-critical or other professional advice. References to research explain design considerations and do not establish that Tarca treats a condition, improves clinical outcomes or reduces procrastination. You are responsible for evaluating whether the Service meets your needs.

We do not promise that a notification will be delivered at an exact time or that a diagram connection will execute work. A visual loop is not an automatic recurring process. Do not rely on the Service as the sole system for emergency response, regulated recordkeeping, legal deadlines, health or safety decisions, or critical backups.

Uploads undergo certain format checks, but accepted attachments are not certified malware-free. Use appropriate caution when opening files. Unless separately agreed in writing, do not submit protected health information subject to HIPAA, payment-card data, bank credentials, Social Security numbers, government identity documents, precise biometric identifiers, or similarly sensitive regulated information.

8. Purchases and promotional access

Creating an account does not itself authorize a charge. Paid access begins only under a disclosed order or checkout that you affirmatively authorize. The checkout and Billing Policy describe the plan, payer, seats, price, taxes, term, renewals, cancellation and any promotion.

Eligible new customers may start a 14-day trial without providing a payment card. The trial starts when verified account setup and workspace creation are completed, and ends at the time shown in the account. Under the disclosed launch extension, it ends at the later of 336 hours after setup or November 2, 2026 at 12:00 a.m. America/Chicago (06:00 UTC), so access continues through November 1. A separate invitation or promotional code may provide the no-charge access described in its offer. Creating another workspace, refreshing a page or changing account preferences does not restart an existing trial. Usage limits, account permissions and these Terms continue to apply.

A trial ends without an automatic charge. To begin a paid subscription, you must separately select an available offer and authorize checkout. For trials issued under this version, expiration without another valid entitlement locks content in the affected covered workspaces, including viewing, editing, downloads, exports, new submissions and automated work. Sign-in, account and billing recovery, and support remain available; separately entitled workspaces are unaffected. We schedule expiry notices approximately three days and one day beforehand by account email and in-app Inbox. Notices are not a guarantee of exact delivery, and the displayed expiry controls.

Promotional codes and complimentary invitations offered under this version provide access without a scheduled end date until an authorized platform administrator suspends or revokes that access, subject to applicable notice, security and other terms. A redemption deadline limits when an offer can be claimed, not the duration of a validly redeemed grant. No payment begins automatically, and existing valid unpaid access is not silently converted to a charge.

Trials issued under version 2026-10-11.1 retain their promised authorized viewing, download and available-export access after editing expires; accepting this version later does not remove that existing promise. Expiry does not automatically delete content or limit mandatory privacy rights. The Billing Policy explains eligibility, reminders, promotion limits, recovery and the separate rules for paid access.

9. Confidentiality

Nonpublic business content shared through the Service and nonpublic information identified as confidential, or reasonably understood to be confidential from its nature, should be treated as confidential. Each party will use the other's confidential information only to perform this agreement or exercise its rights, and will restrict disclosure to people and service providers who need it for those purposes and are subject to appropriate obligations.

This duty does not apply to information that becomes public without breach, was already lawfully known, is independently developed without use of the confidential information, or is lawfully received from another source without a duty of confidentiality. A party may make legally required disclosures, providing notice where lawful and reasonably practical. Sharing within the workspace or through a feature you direct is an authorized disclosure, not a promise that other members will keep it private.

10. Privacy, retention and exports

Our Privacy Notice describes how we handle personal information. Customers that control personal information in their workspaces are responsible for giving required notices and responding to requests concerning their own use. We will cooperate as required by applicable law or an executed data processing agreement.

Archiving a task, leaving a workspace, cancelling a subscription, clearing browser storage and deleting an account are different actions. They do not necessarily erase the same records. The current workspace export includes loaded records and is not a complete backup of every attachment, history or system record. Diagram exports cover the diagram document. Contact us if you need help with a copy or deletion request.

Retention depends on the purpose and type of information, your instructions, security and dispute needs, legal requirements and backup lifecycles. The Privacy Notice explains current limitations. We do not promise immediate erasure from all backups or recovery of unsaved or deleted material. These qualifications do not limit mandatory access, deletion or other rights.

11. Suspension, termination and service changes

You may stop using the Service and may cancel any paid renewal through the disclosed cancellation method. Account closure and data deletion are separate requests. If you own a shared workspace, resolve authorized administration before closing your account so that other members' work is not stranded.

We may restrict or suspend access proportionately when reasonably needed to address a material breach, credible security threat, unlawful content, fraud, harm to others, unpaid amounts after the applicable notice/grace period, or a binding legal requirement. Where reasonable and lawful, we will provide notice and an opportunity to resolve the issue. Urgent protection or legal obligations may require action first. You may contact us to request review.

We may discontinue the unpaid pilot or a feature on reasonable notice where practical. If we end a paid service for convenience before the end of a prepaid period, we will refund the unused prepaid portion of the affected service. Where lawful and practical, we will provide a reasonable opportunity to retrieve content before planned closure. Security restrictions, a legal hold or a specific legal duty may limit access or deletion.

Provisions that logically need to continue after termination, including accrued payment obligations, ownership, confidentiality, retained-data handling, warranty exclusions, liability limitations and dispute provisions, continue to apply.

12. Third-party services and links

Third-party services may supply infrastructure or be linked from the Service. Your separate relationship with a linked provider is governed by that provider's terms. We remain responsible for our own contractual and legal duties when using providers to deliver Tarca. A roadmap item or external link is not a promise that an integration, certification, payment method or mobile app is available.

13. Warranties and disclaimers

To the maximum extent permitted by applicable law, the Service is provided as available and without implied warranties of merchantability, fitness for a particular purpose, title or noninfringement. We do not warrant uninterrupted or error-free operation, perfect security, compatibility with every system, or a particular productivity or business result.

Nothing in these Terms excludes a warranty, remedy, standard of care or other right that cannot lawfully be excluded. We do not disclaim our express commitments in a signed agreement or relieve ourselves of obligations imposed by applicable law.

14. Limits of liability

To the maximum extent permitted by law, neither party is liable to the other under this agreement for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or business opportunities, to the extent those losses are consequential rather than direct damages, even if advised that they could occur.

Subject to the exceptions below, each party's total liability arising from the Service or this agreement is limited to the greater of US$100 or the amount paid or payable by the customer to Tarca for the affected Service during the 12 months before the event giving rise to the claim. Related claims share one aggregate limit rather than restarting it for each claim.

These limits do not apply to fraud, willful misconduct, gross negligence where limitation is prohibited, death or personal injury where limitation is prohibited, your obligation to pay properly authorized fees, or any liability or remedy that cannot lawfully be limited. Nothing limits rights under consumer or privacy law that cannot be waived. The limitations allocate risk for the Service's price and scope; they do not guarantee that a court will apply them in every circumstance.

15. Business-customer third-party claims

This section applies only when you contract on behalf of a business or other organization, not when you use Tarca solely as an individual consumer. To the extent permitted by law, the organization will defend us against a third-party claim alleging that Customer Content provided by the organization infringes that third party's rights or that the organization's use of the Service unlawfully harms that third party, and pay resulting damages or a settlement it approves. This obligation excludes claims caused by our breach of this agreement, unauthorized use of content, negligence or misconduct.

We must promptly notify the organization, allow it reasonable control of the defense using qualified counsel, and provide reasonable cooperation at its expense. A settlement may not admit wrongdoing by us, impose nonmonetary obligations on us, or fail to release us without our written consent, which will not be unreasonably withheld. This section does not shift responsibility for our own legal compliance to you.

16. Disputes and governing law

Contact us first if a concern arises so we can try to resolve it. This is not a prerequisite to exercising a legal right, contacting a regulator, seeking urgent court relief, or meeting a legal deadline.

Texas law governs this agreement, except its conflict-of-law rules, subject to federal law and any mandatory consumer protections that apply where you live. These Terms do not impose mandatory arbitration, waive a jury trial or class participation, shorten a statutory filing period, or require a consumer to surrender a court that applicable law makes available.

17. Changes and general terms

We will publish a dated new version when these Terms change. For a material change affecting existing accounts, we will provide an in-product notice or email and an effective date, and request renewed agreement where required. Changes are not retroactive to a dispute already arising before their effective date unless law requires it or the parties agree. A price increase must follow the separate Billing Policy and applicable notice rules.

Neither party's failure to enforce a provision immediately waives it. If a provision is unenforceable, the remainder continues to the extent lawful. You may not transfer this agreement or sell account access without our written consent, except an organization may request transfer in connection with a legitimate reorganization. We may transfer this agreement in connection with a merger or sale of the relevant business, with notice where required and without reducing mandatory privacy rights or existing obligations. No third party receives enforcement rights merely from these Terms.

We are not responsible for delay caused by events reasonably outside our control, but this does not excuse reasonable mitigation, applicable notice, refunds required by law, or security and privacy duties that remain applicable. This agreement and any properly incorporated policy or signed order form the agreement on this subject.
